These are Non-Business Legal Structures set up to achieve a common purpose.

 

It could be Religious, Educational, Charitable, Social, Cultural, etc.

All profits realized from the activities of these entities must be directed towards attaining the common purpose and not for the profit of its founders.

 

THERE ARE TWO (2) NON-PROFIT STRUCTURES

 

1. INCORPORATED TRUSTEES (I.T)
The process begins with an application for the Consent of the Registrar General of the CAC.

Once consent is obtained, we do the newspaper publications and after the notice period lapses, we apply to register the I.T.

 

Registration Timeline: 2-3 Months

 

2. COMPANY LIMITED BY GUARANTEE (LTD/GTE)

The process begins with an application for the Consent of the Attorney General of the Federation.

Once consent is obtained, we apply for incorporation. If consent is not granted, we begin the consent bypass process.

 

Registration Timeline: 2-3 Months

DOCUMENTS (Company Ltd by Guarantee)

  • CAC Certificate
  • Status Report

PROS

  • Suitable for registration of NGO’s, charities, association, church, social club etc
  • Enjoys tax exemptions
  • Raise funds through donations & dues

CONS

  • Income cannot be shared among members
  • Cannot engage in business activities
  • High registration cost

PS: If you want to register a social enterprise to carry on that has both business side and a social cause component it will be registered as a company Limited by Guarantee.
